For brands, agencies, talents, studios and production partners working through Roster Circles.
Before a project is confirmed
JayPeg prepares one shared booking schedule with the work, usage rights, fees, payment dates, timings and travel cap. The client and every affected provider must explicitly accept that exact schedule and these terms before JayPeg confirms the booking.
Registration, silence, a preview checkbox or an enquiry does not accept a project. Projects and payments are currently coordinated by WhatsApp or email.
Version RC-BOOKING-2026-10-08-DRAFT-6. This is a project-stage draft, not a signed contract. Final terms and the completed schedule require legal and operational review before use.
Your rights at a glance
- Use is limited to the agreed campaign, channels, territory and dates. Extensions require fresh written approval and a quote.
- No AI training, cloning, FaceApp, digital doubles or generative use of talent work without separate, informed written permission from the talent and all necessary rights holders.
- Discounts, extended payment prices and any overdue charges must be disclosed and agreed in the quote. Provider payout dates are stated separately.
- Working hours, overtime, safe conditions, travel limits, cancellations and deliverables are agreed before the shoot.
Full project terms
Open a section to read the details. These terms apply only with a separately accepted project schedule.
1. Parties, authority and confirmation
The named brand/client, each named talent or service provider, and JAYPEG PRODUCTIONS PRIVATE LIMITED (JayPeg), operating Roster Circles, are the parties only in their stated capacities. An agency signatory must identify its principal and have written authority. This form covers adults aged 18 or over; minors require a separate reviewed process. A quote, shortlist, enquiry or checkbox alone does not confirm availability. A live booking requires a complete agreed schedule, independent verified acceptance by all affected parties, JayPeg confirmation and the agreed advance. Each talent must accept separately; one talent cannot bind another.
2. Written acceptance and corrections
The client and each affected talent/provider must affirmatively accept the same complete schedule and terms version through an independently verified written reply or agreed signing process. JayPeg retains the fixed documents, each party’s identity and capacity, acceptance time and final confirmation. Report apparent errors promptly, preferably within 24 hours of receipt. Silence, non-response, continued discussion, payment alone or failure to object within 24 hours is not this booking’s acceptance mechanism and does not waive correction rights. Changes need a revised version and fresh acceptance from affected parties; expired offers require price and availability to be reconfirmed. The preview controls do not save signatures or accept a real booking.
3. Brand and authorised agency responsibilities
The brand/client and any booking agency must identify the campaign, actual principal, authorised representative and named payment debtor, and establish any agency mandate. Provide an accurate brief, products/SKUs, required deliverables and disclosed usage before confirmation, and obtain the rights and permissions needed for supplied products, logos, artwork, scripts, locations and materials. For the first invoice or a change of billing entity, provide billing legal name, GSTIN if applicable, billing address and accounts contact. An agency cannot promise rights beyond its mandate or introduce an undisclosed end client, sublicensee or distribution partner. Make permitted downstream recipients follow the accepted usage, confidentiality and AI restrictions; expanded use requires prior written approval and an accepted quote.
4. Talent, studio and production-provider responsibilities
Each talent/provider must give accurate professional details, genuine portfolio credits and permissions for submitted work, respect client embargoes and confidential release dates, and disclose its representative’s authority where applicable. Studios and production houses must accurately describe facilities, services, restrictions and responsible contacts. Check availability before accepting; attend punctually, prepare and perform the agreed work with reasonable professional care. Promptly notify JayPeg of conflicts or practical restrictions affecting delivery, including functional availability or travel issues, without supplying unnecessary sensitive medical details. Do not publish campaign work without the agreed portfolio permission and embargo release. These duties do not require unsafe work, undisclosed scope or surrender of the provider’s rights.
5. JayPeg’s role and responsibilities
JayPeg coordinates the introduction, agreed scope, quote and booking. If JayPeg supplies studio or production services, it is responsible for those expressly listed services. It does not obtain ownership of a person’s identity or automatically own third-party creative work. Each supplier remains responsible for its agreed performance. The schedule must identify who invoices, receives payments, holds the advance and pays each supplier. No party can add obligations or charges on another party’s behalf without authority.
6. Limited usage permission
Only the named brand, campaign, deliverables, media channels, territories, fixed dates and expressly named distribution partners in the accepted schedule are permitted. This is limited permission, not a perpetual buyout or blanket copyright assignment. Unselected media, raw files, behind-the-scenes content, packaging, paid amplification, account whitelisting, sublicensing, resale, stock libraries and unrelated brands are excluded unless expressly included. Online technical accessibility outside the territory does not authorize targeting, placements or distribution there. Exclusivity applies only to the named competitors/category, territory and dates; no wider non-compete is implied.
7. Pricing, payment and extensions
Service fees, usage fees, exclusivity fees, production costs, coordination fees, taxes, approved expenses and overtime must be separately agreed. A usage selection is a quote request, not an automatic tariff. The brand pays the agreed advance and balance to the named payee on the agreed dates; supplier payout dates are disclosed. No licensed publication begins before the agreed licence start and payment of the fees due for that usage. A wider campaign, renewal, new territory, new channel or longer term needs a fresh quote and acceptance before use. No automatic renewal or retrospective permission applies. Statutory tax deductions require the appropriate certificates.
8. Payment choices, transparent pricing and provider payout
The brand or authorized booking agency may request upfront, standard or extended payment. Availability, the named debtor and principal, the fee basis, exact period and deadline, invoice issuer, payee, credited advance, selected price and separately checked taxes must be stated in the quote before independent acceptance. An early-payment discount is conditional on receipt of the full discounted total by the stated cutoff; partial or late payment does not earn the full discount unless expressly agreed. The same quote must disclose the undiscounted base fees and the agreed fallback if that condition is not met. An extended-payment price is a prospective, expressly agreed commercial price, not a charge for being overdue. Apply only the selected adjustment to its identified eligible fees; do not combine an upfront discount and credit-price adjustment on the same fee or add an advance twice. Disclose who funds the discount or receives the adjustment. Provider fees cannot be reduced without that provider’s separate agreement. No undisclosed charge, automatic discretionary late fee or unagreed retrospective repricing applies. Choose expressly either no discretionary overdue charge or a quote-specific lawful overdue term. A quoted term must state its percentage rate or one-time flat INR amount, simple or compound basis and applicable period where relevant, the unpaid balance covered and exclusions, any grace period after the payment deadline, and a discretionary charge cap. It must be separately agreed, apply only after the relevant due date and grace period to the identified unpaid balance, and avoid double recovery; mandatory statutory rights prevail and are not limited by a discretionary cap or a no-discretionary-charge choice. No overdue amount is automatically calculated or added to this draft total. Taxes, invoice or credit-note treatment, TDS and any required recipient adjustments must be checked separately rather than automatically reduced by a commercial discount. The named payout-responsible party owes each provider the accepted payout amount on its own fixed due date, independently of whether the brand or agency has paid; no pay-when-paid condition is implied. Cancellation or rescheduling refunds and timing follow the disclosed cancellation schedule, account for payments actually received and work/costs lawfully recoverable, and do not silently impose a new payment-plan charge. Where the supplier and transaction qualify under the MSMED Act, applicable statutory payment deadlines and delayed-payment interest prevail. Verify eligibility for the actual contracting supplier; a chosen credit window cannot override an earlier mandatory deadline, and buyer-controlled invoice approval cannot reset statutory time limits. This preview approves no credit facility, collects no payment and calculates no statutory interest.
9. Talent and creative work: explicit AI permission required
The brand, JayPeg, talent, agencies, production partners and their contractors must not upload, ingest, licence, sell or otherwise use real talent photographs, likenesses, faces, bodies, voices, performances, scans, raw footage, behind-the-scenes recordings or talent-created work in any AI system without the talent’s prior, explicit, informed written permission in a separate AI-use addendum. This includes training, fine-tuning, reference conditioning, embeddings, face or voice cloning, FaceApp or similar AI editing applications, digital doubles, face swaps, synthetic performances and generative editing. A booking checkbox, buyout, payment, general model release or copyright permission is not AI consent. The separate addendum must identify the talent and exact assets, approved AI operations (with training and cloning separately addressed), named tools/providers and recipients, campaign and permitted outputs, channels, territory, duration, compensation, storage/deletion, security and withdrawal/termination arrangements, including any limits on reversing training already performed. Refusal does not waive ordinary booking rights. Any expanded use requires fresh written permission before processing. Permission from the photographer or other relevant rights holders is also required where applicable; talent consent alone does not transfer their rights. No AI permission is collected or granted by this booking form. Ordinary non-AI cropping, colour correction and agreed retouching are permitted only within the accepted brief and without misleading or derogatory changes.
10. Product-only shoots for AI
Where the service expressly covers product source photography for AI, only the separately identified product-only source images are eligible. The client warrants rights in the products, designs, logos and supplied materials. The photographer or production rights holder must separately and expressly authorize the defined AI processing and resulting commercial use of those source photographs; ownership is not presumed. This exception never includes talent work or any identifiable real person, voice or performance. No provider training or reuse is authorized. Unresolved rights, incidental people or unapproved material must be removed or cleared before processing; no AI processing is enabled by this preview.
11. Schedule, overtime and working conditions
The accepted dates, location, time zone, call time, wrap time, included hours, breaks, fitting/rehearsal time and deliverables define the engagement. Waiting caused by the client counts within the booked time unless stated otherwise. Overtime requires the affected talent’s agreement and the stated rate and billing increment; it cannot be forced. Changes to locations, outfits, concepts, intimacy, physical risk or working hours require advance agreement. Provide safe premises, private changing space, drinking water, meals and the stated breaks. Talent may stop unsafe, unlawful, harassing or materially undisclosed work and notify JayPeg without being penalized for refusing that work.
12. Travel, accommodation and expense cap
The schedule identifies who books travel, pickup/drop, approved class, included travel area, travel-time treatment, accommodation, meals, receipts and a per-person/per-booking INR cap. Only necessary, agreed and evidenced expenses within the cap are reimbursable. No excess is chargeable without the brand’s written approval before it is incurred, except an immediate safety emergency, which must be documented and reported promptly. A travel cap never requires unsafe travel. Non-refundable commitments must be disclosed before approval.
13. Availability, health and replacement
Health, travel disruption, government restrictions and other events beyond reasonable control may affect availability. The affected party must promptly notify the others, explain the practical impact without unnecessary sensitive data, mitigate and discuss revised dates. Routine overbooking or avoidable failures are not automatically force majeure. JayPeg uses reasonable efforts to suggest a suitable replacement where possible, without guaranteeing one. Substitution needs the client’s approval and the replacement provider’s acceptance of its own scope and terms. If no suitable alternative is accepted, settle completed work and approved lawful unrecoverable costs under the agreed cancellation schedule and refund amounts for undelivered services within the agreed refund period, with a disclosed calculation. These events do not excuse a party’s own breach or negligence or erase accrued payment and confidentiality duties; no blanket exemption from resulting loss applies.
14. Cancellations, changes and force majeure
The schedule must state notice bands, cancellation/rescheduling amounts, refundable advances and refund timing before acceptance. Recovery is limited to lawful, reasonable compensation for the affected booking, taking account of work done, approved unrecoverable costs, mitigation and any replacement booking; there is no automatic punitive forfeiture or double recovery. If a provider cancels, JayPeg offers an agreed alternative or an appropriate refund for undelivered services; substitution needs the client’s consent. For events beyond reasonable control, notify promptly, mitigate and agree rescheduling or settlement of completed work and approved unrecoverable costs. No undisclosed cancellation schedule applies.
15. Delivery, approvals and ownership
Agree the shot list, products/looks, number of final assets, formats, delivery dates, review period, included revisions and reshoot responsibility in the schedule. Extra work needs an accepted change order. Client delays move dependent dates by agreement; silence does not approve extra rights. Pre-existing IP stays with its owner. Copyright and performer rights are distinct; identify the relevant rights holders and obtain necessary written permissions. Raw files are excluded unless specified. No moral-rights waiver is implied. Portfolio use by the talent, JayPeg or crew, credits and embargoes need express permission in the schedule.
16. Expiry, misuse and takedown
At licence expiry or termination of permission, stop new publication, paid advertising, reposting and distribution. Remove controlled placements within the agreed takedown window; an archival post may remain only if expressly allowed. Give distribution partners equivalent restrictions and require compliance. Notify JayPeg promptly of suspected misuse, stop unauthorized AI use immediately, preserve evidence securely and request deletion from recipients/providers, with confirmation where obtainable. No party promises reversal of model training. A breach may support suspension, termination, injunctive relief and legally recoverable losses; no arbitrary automatic fine is imposed.
17. Confidentiality, privacy and records
Use unreleased campaign materials, personal contact details and commercial terms only for the booking; disclose them only to necessary authorized recipients with equivalent duties, or when law requires. Publicly available, independently developed or lawfully received information is excluded. Protect personal data, restrict access, follow the applicable privacy notice and law, and retain records only for documented operational/legal needs. Identity verification and marketing consent are separate; this agreement does not authorize marketing or AI training. Do not upload identity documents to this preview.
18. Claims and liability
Each party is responsible for its own breach, negligence and unlawful conduct. A party causing a third-party claim through materials it supplied or unauthorized use must cooperate and reimburse losses to the extent legally attributable to it, subject to prompt notice, an opportunity to defend, mitigation and no settlement imposing obligations without consent. Ordinary direct contractual liability is limited to the total fees payable for the affected booking; this does not limit fraud, wilful misconduct, gross negligence, personal injury, unpaid fees, unauthorized IP/likeness or AI use, or liability that cannot lawfully be limited. No provision removes non-waivable consumer or statutory remedies. This allocation requires counsel’s review for the actual service.
19. Disputes, changes and order of terms
Indian law applies. Contact jayakrishnan@jaypegproductions.com for written escalation; parties seek a resolution within 15 business days, without delaying urgent protective relief. Competent courts in Bengaluru may hear disputes subject to mandatory jurisdiction and statutory remedies. Changes must be recorded in a new version accepted by affected parties; prior acceptances do not carry forward. The specific accepted schedule controls commercial details, but cannot replace the separate explicit AI-permission requirement or mandatory law. Invalid provisions are severed only to the lawful extent. Accrued payment, confidentiality, ownership, usage restrictions and dispute obligations survive as appropriate.
